本リサーチノートではサーベイ結果を基に、パッケージ・ソフトウェアやパブリック・クラウド・プラットフォームの契約で特に注視すべき顧客企業の不満とリスク、およびそれらの解消法を解説する。ソーシング／調達／ベンダー管理のリーダーは、値上げをはじめとする直近の問題への対応とともに、デジタル時代にこれらのテクノロジを真に有効活用する一助としても、本リサーチノートを活用されたい。
ソフトウェアやクラウド・プラットフォームに契約上の不満を持つ企業は80%を超えている。具体的な不満としてはコスト高が最も多く、次いでサービス・レベルや契約ポリシーの不透明性が挙げられた。
さらに、最も不満が大きいコスト高への対策を尋ねたところ、「他のベンダーへ移行中または移行を検討する」と答えた企業が最も多く、「納得のいく説明をベンダーへ求める」との回答が続いていた。
Gartnerには、ベンダーへ求めるべきセキュリティ要件についても、顧客企業から多くの相談が寄せられている。しかし今回の調査では、同要件についてベンダーから十分な説明を受けている企業は約36%と、3分の1程度であった。
ソーシング／調達／ベンダー管理 (SPVM) のリーダーは以下を実行する。
ソフトウェア／クラウド・プラットフォームの本来のメリットを引き出すためには、相応の契約交渉が必須との認識に立つ。その上で、経営層やビジネス部門にも、交渉力向上のために必要な時間や人材への投資を求める。
現行ベンダーがコストに見合うメリットや品質を実現できない場合は、「他ベンダーへの移行も辞さない」との毅然とした態度を示す必要もある。ただし、ベンダー変更は時間を要しリスクも伴う。この決断は、その他の交渉がすべて不調に終わった場合の最終手段と位置付ける。
製品やサービスのセキュリティ・ポリシーが契約書上のどこで説明されるのかを明らかにするよう、ベンダーに要求する。厳格化されるデータ保護規制や高まるサイバー攻撃のリスクへの具体的な対策とともに、外部機関によるセキュリティ認証の状況に関する説明も求める。
