Ms. Lugo can assist clients on a wide range of corporate governance issues, including advising on emerging corporate governance trends, board and management matters, director lifecycle events, corporate secretarial duties, developing and improving ESG programs, assessing and improving corporate governance practices and board processes, developing entity management programs, developing subsidiary governance frameworks (including director appointments to subsidiary boards), executive officer and director compensation topics (including hiring of compensation consultants, compensation committee role and duties, say-on-pay votes, alignment to ESG metrics and goals, etc.), stockholder defense and activism (including governing document considerations, overall hostile takeover process, poison pills, ISS ratings, etc.), annual stockholder meetings (including timelines, vendors, proxy planning, etc.), pre- and post-IPOs (including timelines, hiring of advisors, creating work management frameworks and processes, developing board and governance frameworks, educating employees/directors/officers, etc.), board policy topics (such as stock ownership guidelines, independence guidelines, director eligibility guidelines, etc.), and stockholder engagement (including developing an overall engagement approach).
Prior to joining Gartner, Ms. Lugo was an Equity Partner for a national law firm in the Corporate Governance & Securities Group. Ms. Lugo has extensive expertise in securities, corporate governance, and general corporate law. She regularly advised executive officers, general counsel, and board of directors at both public and private companies on SEC regulatory filings, federal securities laws compliance, day-to-day corporate governance issues, and capital raising deals, including IPOs, follow-on public offerings, secondary public offerings, and private placement offerings. Ms. Lugo regularly partnered with clients to learn their business, culture, and goals to ensure that her advice was practical, solution-oriented, and tailored to their specific needs and objectives.
